Software License Agreement regarding Mylingual
Software License Agreement - Cybozu Labs, Inc.
Caution given to all legal entities and organizations going in for using Software products (hereinafter called "this Software") owned by Cybozu Labs, Inc. mentioned above (hereinafter called "Cybozu Labs") (all these legal entities and organizations are hereinafter called "Customer".): This Software License Agreement (hereinafter called "this Agreement") is a legal agreement to be signed between Customer and Cybozu Labs. Customer's installing this Software constitutes his or her agreeing to being bound by the provisions of this Agreement and the completion of this Agreement.
This Software is protected by copyright law and a treaty concerning copyright, law governing other intangible property rights as well as the corresponding treaty. It should be noted that Cybozu Labs does not sell this Software but grants this Software license to Customer.
When Customer is unable to consent to these use conditions, he or she may not use this Software, therefore, they should uninstall it promptly.
1.. Scope of Use
Subject to the term and conditions of this Agreement,Cybozu Labs grants to Customer a non-exclusive, non-transferable, rights without license fees to use Software.
2. Other Terms and Conditions
2-1 Limitations of duplicating
Customer is not allowed to reproduce this Software except an approved case in this agreement explicitly.
2-2 Prohibition of distribution and/or transmission Customer is never allowed to distribute and/or transmit (including automatic public transmission and making
transmittable) this Software to a third party.
2-3 Prohibition of lending, granting of security and resale
Customer is not allowed to lend or lease this Software and/or give it as a security. In addition, Customer is prohibited from assigning, reselling or granting the right to use this Software or granting a sublicense to any third party. In other words, under no circumstances will Customer be allowed to grant the right to use this Software to any legal entity's or organization's employees and members or individuals other than Customer's.
2-4 Limitations of reverse engineering, decompiling, disassembling, alteration, etc.
Customer is not allowed to carry out reverse engineering, decompiling, disassembling of this Software, nor to modify, alter it or make a software derived from this Software. Furthermore, Customer may not modify or translate document(s) pertaining to this Software. Since this Software has been authorized as one and only Software, Customer is prohibited from isolating its constituents from this Software to try out or use the constituents thus isolated.
2-5 Miscellaneous
It should be noted that this Agreement does not grant the use of trademark or service mark of Cybozu or any other relevant right(s) to anyone. Cybozu reserves all rights not specified in this Agreement.
3. Termination
In the event that Customer commits any breach of one of provisions and requirements of this Agreement, Cybozu may forthwith terminate this Agreement without any notification. Once this Agreement is terminated, Customer is obliged to scrap and/or discard this Software, its constituents, documents as well as all reproductions and is no longer allowed to continue trying out or using this Software.
4. Limitations of Warranty
Cybozu Labs does not warrant any of the following matters:
- Functions contained in this Software satisfy Customer,
- A translation result with this Software satisfy Customer,
- This Software works normally,
- In the event this Software has defects (including so-called bug and structural problems), such defects are remedied,
- In the event a translation result with this Software does not satisfy Customer, such defects are remedied.
Cybozu Labs may change or discontinue the provision of service(s) incidental to this Software without Customer's prior consent. Cybozu Labs cannot permanently warrant the environment surrounding this Software provided at the time of signing of this Agreement.
In addition, any oral or written information or advice provided by Cybozu Labs is not subject to any additional warranty or expansion of coverage in any sense.
5. Limitations of Liability
Customer hereby confirms and agrees that he or she will assume liability for damages or risks of any kind whatsoever, including direct and indirect damages (loss of data, server down, interruption of business operations, complaints and
claims made by a third party, etc.), incurred by reason of the use of this Software.
In no event including illegal act, illegal contract or legal grounds, will Cybozu Labs, this Software provider, reseller as well as providers of the individual information contents be liable for direct, indirect, particular, incidental or
consequent loss and damages of any kind whatsoever, including loss of commercial value, suspension of business, damages due to computer failure and any other commercial loss and damages. Furthermore, Cybozu Labs will never be liable for any complaints and claims from a third party.
6. Copyright, etc.
Intellectual property rights of any kind whatsoever, including ownership and copyright pertaining to this Software (its entirety including HTML program and screen display), papers relating to this Software, drawings and documents, etc. (hereinafter called "These intellectual property rights") inhere in Cybozu and their suppliers. These intellectual property rightsare protected by copyright law, law governing other intangible property rights as well as the corresponding treaty.
Customer is obliged to handle all these things in the same manner as for other copyrighted works. Please note that an intangible property right concerning the individual contents accessed from this Software and thus displayed and used is the individual information contents provider's property and protected as such by copyright law, law governing other intangible property rights as well as the corresponding treaty.
7.Handling of Customer's Information
For the purpose of obtaining translation data, this Software may send hostnames of the webpages displayed by Customer's web browser to servers operated by Cybozu Labs. However, the sent hostnames will not be collected; the information will not be saved nor be analyzed by Cybozu Labs, nor will be sold to third parties.
8. Governing Law and Miscellaneous Rules
This Agreement is governed under the laws of Japan without giving effect to any principles of conflicts of laws. In addition, both Customer and Cybozu agree that if any dispute should arise in relation to this Agreement and/or this Software, the Tokyo District Court or Tokyo Summary Court has competent jurisdiction for the first instance depending on the amount claimed.
9. Miscellaneous
In the event software license agreement containing terms and clauses different from those in this Agreement are attached to this Software Customer obtained, terms and clauses of this Agreement supersede the terms and clauses of the aforesaid software license agreement This Agreement constitutes the entire and only agreement between the parties hereto with respect to trial software license agreement and may be changed only in writing and signed and sealed by the parties.
